1.1. These general conditions for legal consultancy services provision, along with any agreed written amendments and/or supplemental provisions, govern the legal consultancy services provided by AMADA LEGAL to the Client.
1.2. References to "AMADA LEGAL" refer to ÁLIA AMADÁ, with professional domicile at Rua Hermano Neves, nº 18, Piso 3, 1600-477 Lisboa - Portugal.
1.3. References to "Client" refer to the entity or individual contracting the services of AMADA LEGAL, or any entity/individual which AMADA LEGAL accepts, in writing, to treat as a Client in a specific matter.
1.4. References to "SERVICES" refer to the legal consultancy services provided by AMADA LEGAL.
2.1. AMADA LEGAL's SERVICES are generally billed based on time spent or on a fixed budget for specific SERVICES. Hourly rates vary depending on the experience and seniority of the team involved and factors like complexity, responsibility, and urgency of the matter. Hourly rates may be updated periodically with prior notice to the Client and indication of effective date.
2.2. Alternatively, other fee arrangements may be made, such as a fixed hourly rate, a fixed budget, or a combination of hourly fees and success fees. In certain cases, fees may be subject to a maximum (cap). Such agreements between AMADA LEGAL and the Client will be made in writing on a case-by-case basis and may be subject to specific terms and conditions.
2.3. Any fee agreements will be those sent together with the fee proposal or agreement provided to the Client for each specific matter.
2.4. In some cases, an advance payment of fees and/or expenses may be requested from the Client ahead of the SERVICES provision, which may be credited to a separate Client’s Account held at a banking entity depending on the scope of the services.
3.1. Professional fees do not include Client-related expenses, general administrative expenses, or VAT, if applicable.
3.2. Generally, unless otherwise agreed with the Client, general administrative expenses (e.g., printing, copying, meetings, courier, express mail) will amount to 5% of the total professional fees and will be charged to the Client on each invoice and marked in the fee note referring to the invoice in question.
3.3. Client-related expenses, such as express mail, travel, searches, registration and official fees, will be charged in each invoice and will be charged to the Client on each invoice and marked in the fee note referring to the invoice in question. No substantial expenses will be incurred on behalf of the Client without its prior consent.
4.1. Invoices for the SERVICES provided to the Client will be issued in accordance with the frequency set out in the fee proposal awarded by the Client and must be paid within 10 working days of receipt. Invoices for Client-related expenses may be issued immediately and must be paid upon receipt.
4.2. Alternatively, other payment methods may be agreed with the Client, such as invoices for the SERVICES provided to the Client being issued monthly and having to be settled within 30 days after receipt by the Client.
4.3. If AMADA LEGAL's fees and expenses incurred are not paid on the respective due date, AMADA LEGAL reserves the right to cease providing SERVICES to Client in the matter in question, as well as in any other matters entrusted to it by the Client.
5.1. All information and documents received from the Client are confidential unless otherwise instructed or disclosure is required by law, regulations or administrative and court decisions.
5.2. Unless expressly indicated otherwise by the Client, AMADA LEGAL may make general references about its representation of the Client in promotional materials. The Client accepts that AMADA LEGAL may also disclose to third parties that it represents or has represented the Client in any matter, whenever the information on the matter in question is in the public domain or the Client has expressly consented to this disclosure. Such disclosure may include the transmission of information to legal directories that wish to contact the Client to obtain their opinion regarding the SERVICES. If the Client does not express opposition, AMADA LEGAL assumes that it has its approval for such disclosure.
AMADA LEGAL retains intellectual property rights over any work it produced, without any transfer to the Client, granting the Client a non-exclusive and non-transferable license to use the work in question for the intended purpose which it was created for.
7.1. AMADA LEGAL does not accept to represent other entities in matters that are directly in conflict with other matters in which we represent the interests of our Client. In this sense, before accepting a Client, we conduct an internal verification of possible conflicts, in order to ensure that, as far as we can ascertain, there is no conflict of interest that prevents us from representing the current and/or new Client in a particular matter.
7.2. Notwithstanding the previous paragraph, AMADA LEGAL will not be prevented from representing other collective entities or individuals with interests opposed to those of the Client in matters that are not substantially related to those entrusted to us by the Client.
7.3. In some cases, AMADA LEGAL may be invited to represent other collective entities or individuals in matters where the Client has an indirect opposing interest. In such cases, we commit not to defend interests opposed to those of the Client when, due to representing them, we have obtained confidential information that could be used against the Client, unless we ensure that our collaborators who have this information will not be involved in the matter in question.
7.4. For the purpose of providing SERVICES, AMADA LEGAL is contracted to represent the Client, and the Client only, and not any collective entities or individuals related to them in any way and under any title and for any type of effect, in Portugal or abroad, including, but not limited to, affiliated companies or those over which they exercise dominance, control or any type of influence, and directors, workers, employees or collaborators.
7.5. Thus, regarding conflicts of interest, we may represent other collective entities or individuals who have interests contrary to those of collective entities or individuals related to the Client, without the need to obtain consent from the Client or the mentioned collective entities or individuals.
7.6. Notwithstanding the provisions of the previous paragraph, and as an exceptional measure, AMADA LEGAL is available to analyse the conflict of interest management in specific matters with the Client if, for reasons related to the Client's business policy, it is in their interest that we refrain from representing certain collective entities or individuals.
8.1. All personal data that is made available will be processed by AMADA LEGAL and shared, to the extent necessary, with AMADA LEGAL's service providers, under the terms described in more detail in our Privacy Policy available on this website, for the purposes of responding to inquiries, clarifying requests or complaints, providing SERVICES, complying with legal obligations, sending commercial communications related to AMADA LEGAL, and for invoicing and management purposes.
8.2. The Client of AMADA LEGAL has the right to object to the processing of their personal data by AMADA LEGAL, impose restrictions on such processing, as well as to access, rectify and erase their personal data, obtain the portability of data concerning them, and to stop receiving communications from AMADA LEGAL, simply by sending an email to info@amadalegal.com.
9.1. AMADA LEGAL is obliged by law to verify the identity of the Client and certain data in its respect, as well as their beneficial owner(s), if applicable, before starting to provide any SERVICES.
9.2. Under applicable legislation, AMADA LEGAL may be required by law to (i) report knowledge or suspicion of criminal activity to the competent authorities, in certain cases without informing the Client and without its prior consent, and/or (ii) report to the Portuguese Tax Authority certain tax mechanisms, under the terms and for the purposes set out in national and European Union legislation and regulations.
AMADA LEGAL and the Client undertake to comply with all legal and regulatory standards regarding the prevention of corruption and related offenses, money laundering and financing of terrorism in order to prevent, among other illicit acts, money laundering, financing of terrorism, acts of corruption and related offenses.
Any complaint received from the Client is submitted to an internal procedure, which is audited by our quality managers. Therefore, if the Client is dissatisfied with any aspect of the SERVICES provided by AMADA LEGAL, it should contact our Quality Management Department at info@amadalegal.com.
12.1. These general conditions for legal consultancy services provision and any other agreements on fees or agreements on the provision of SERVICES entered into between AMADA LEGAL and the Client, under these general conditions for legal consultancy services provision, are governed by Portuguese law and for the resolution of any and all disputes or issues between AMADA LEGAL and the Client related to them and the provision of SERVICES is the exclusive jurisdiction of the Portuguese courts and, within the scope of the Portuguese judicial organization, the jurisdiction of the Courts of Lisbon, with express renunciation of any other.
12.2. In everything that these general conditions for legal consultancy services provision and any other agreements on fees or agreements on the provision of SERVICES entered into between AMADA LEGAL and the Client fails to address, they will be governed by the legislation and regulations in force in Portugal.
